How we operate, what you can expect, and how we protect everyone involved.

These Terms & Conditions (“Terms”) are a legally binding agreement between you (“you,” “Client,” or “User”) and T&K Solutions, LLC d/b/a Precision Leverage Solutions (“PLS,” “we,” “us,” or “our”) governing your access to and use of our website, tools, communications, and services (collectively, the “Services”).

2. Acceptance of These Terms

By accessing or using the Services, submitting any intake form, signing a service agreement, paying an invoice, or otherwise engaging PLS, you agree to these Terms and any additional documents incorporated by reference, including our Privacy Policy and any service-specific agreements, scopes of work, fee schedules, or addenda (collectively, “Service Documents”). If these Terms conflict with a signed Service Document, the signed Service Document controls.
 

3. Eligibility; Business Use

The Services are intended for professional/business use. You represent that you are at least 18 and have authority to bind the brokerage/team/Market Center or business entity you represent.
 

4. Who We Are (Third-Party Vendor Status)

PLS is a third-party vendor/company providing real estate leverage services to Keller Williams agents, teams, and Market Centers. Unless expressly stated in a signed Service Document:

  • PLS is not a broker of record, and does not supervise licensees.

  • PLS is not a law firm and does not provide legal advice.

  • PLS does not replace a brokerage’s compliance function.

  • You remain solely responsible for licensed activities (including negotiations, agency representation, disclosures, contract formation, and compliance obligations).
     

5. Services Overview

PLS provides operational support services which may include (examples): transaction coordination support, listing management support, marketing management support, database/CRM support, administrative support, and lead generation/distribution systems (each as defined in the applicable Service Document).
 

6. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information;

  • Respond promptly to requests needed for PLS to perform Services;

  • Review deliverables for accuracy and compliance before use;

  • Maintain your own compliance with applicable laws/regulations and policies, including (as applicable) brokerage policies, MLS rules, Fair Housing, RESPA, TCPA, CAN-SPAM, and state licensing rules.
     

7. Third-Party Tools; Access Credentials

PLS may work inside third-party platforms (CRMs, MLS tools, email, transaction platforms, ad accounts, etc.). You acknowledge:

  • Third-party platforms are not controlled by PLS and may change functionality, pricing, or access requirements at any time;

  • PLS is not responsible for third-party outages, policy enforcement, security incidents, or access decisions;

  • You are responsible for ensuring you have the right to grant access and that any access provided is consistent with brokerage and platform rules.
     

8. Communications

You consent to receive communications from PLS (email, phone, text) related to onboarding, service delivery, support, and billing. Message/data rates may apply where applicable.
 

9. Fees, Billing, and Payment

Fees, billing cadence, and payment terms are governed by your Service Documents and/or invoices. Nonpayment may result in paused Services, delayed deliverables, and/or account holds.
 

10. No Guarantee of Results

PLS does not guarantee business outcomes (including leads, appointments, closings, conversion rates, revenue, or rankings). Services are provided on an “effort and process” basis.
 

11. Confidentiality

Each party may receive Confidential Information. Each party agrees to protect the other party’s Confidential Information using reasonable safeguards and to use it only as necessary to perform under these Terms and the Service Documents.
 

12. Data Privacy

PLS’s collection and use of personal information is described in the Privacy Policy. You agree you have the authority to provide any information you submit and will not submit sensitive data unless specifically requested through an approved secure process.
 

13. Intellectual Property

PLS retains ownership of its systems, workflows, templates, SOPs, training materials, and know-how (“PLS Materials”). Subject to payment in full, you receive a limited, non-exclusive, non-transferable license to use deliverables created specifically for you for your internal business purposes unless otherwise stated in a Service Document.
 

14. Prohibited Use

You may not use the Services to violate laws, infringe third-party rights, distribute malware/spam, or misrepresent PLS as a broker, law firm, lender, or as providing services beyond the scope of the Service Documents.
 

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
 

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PLS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL).

  • PLS’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO PLS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS BEFORE THE EVENT.
     

17. Indemnification

You agree to indemnify, defend, and hold harmless PLS, its owners, contractors, and affiliates from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your violation of law/policy, your content/instructions/approvals, or your breach of these Terms.
 

18. Suspension and Termination

PLS may suspend or terminate Services for nonpayment, breach, or risk to compliance/legal exposure. Termination does not eliminate payment obligations accrued before termination.
 

19. Governing Law; Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in or serving Cumberland County, Pennsylvania, and each party consents to jurisdiction and venue there.
 

20. Updates to These Terms

We may update these Terms from time to time. The “Last Updated” date controls. Continued use after changes constitutes acceptance.
